Employing Foreign Workers in Vietnam

In 2011, the number of registered foreign employees in Vietnam exceeded 74,000, which is a staggering number compared with the last three years where the numbers remained at around 55,000. As more companies employ foreign staff to work in Vietnam, management needs to be aware of some core legal issues before sending staff on employment assignments in the country.

Who Can Work in Vietnam?

Foreigners wishing to work in Vietnam must be at least 18 years old and be healthy enough to satisfy the job requirements. Only those with high technical skills or high professional qualifications regarding service and with considerable experience may be employed. As with other jurisdictions, a foreign employee is required to prove that he or she does not have any criminal record with a national security offense, and must not currently be subject to criminal prosecution or any criminal sentence in accordance with Vietnamese and foreign laws.

Grounds for Employment

The law lays out clearly different forms under which a foreign employee may work in Vietnam. Generally, a foreign expatriate may enter into Vietnam to work only under the following grounds:

Performance of a labor contract between the foreigner and a Vietnam-based company.
Internal transfer within an enterprise that has a commercial presence in Vietnam.
Performance of a type of contract (but not a labor contract), namely economic, commercial, financial, banking, insurance, scientific and technical, cultural, sporting, educational, or medical health contracts between a foreign entity and a Vietnam-based entity.
Service providers pursuant to a contract or, in other words, contractual service suppliers.
Service salespersons.
Foreigners representing a foreign nongovernmental organization that is permitted to operate in Vietnam.
Persons responsible for setting up a commercial presence.

Vietnam Visa

Foreigners entering Vietnam must have a valid passport and Vietnam visa, and must be able to state the purpose and length of their stay in the country before they can be granted entry. Visas may be applied for, and issued, at the Immigration Department of the Ministry of Police, a consulate office under the Ministry of Foreign Affairs, a foreign representative office, or a Vietnamese consulate overseas. If a visa applicant is already in Vietnam, he or she may apply to the Vietnamese immigration authority for a visa. The maximum visa term for a foreigner working in Vietnam is 12 months. Visas cannot be renewed once expired, but a new one can be applied for if necessary.

A foreign worker with a valid work permit may also apply for a Temporary Residence Card for a period of up to three years. The application must be submitted to the provincial Immigration Department, and may include supporting documents such as a housing lease contract and an employer’s certificate of incorporation.

Work Permit

A work permit is normally required from a foreign employee working for more than three months in Vietnam. Once an employer receives two sets of application files from the potential foreign employee, the employer can apply for issuance of a work permit for that foreigner from the Department of Labor, War Invalids, and Social Affairs (DOLISA). For a foreign employee working in Vietnam on the ground of performance of a labor contract between the foreigner and a Vietnam-based company, after a work permit has been issued, usually within two weeks of submitting an application file to DOLISA, a written labor contract in accordance with the labor law of Vietnam, and consistent with the work permit issued, must be signed by the foreigner and the employer. A copy of this signed contract must be forwarded by the employer to DOLISA. For foreigners working in Vietnam on other grounds, including internal transfer, no Vietnamese labor contract is required.

A work permit is not required from the following foreign employees:

A member or owner of a limited liability company or a member of the board of management of a shareholding company.
A person offering services to practice law, under a professional license issued by the Ministry of Justice.
A Chief Representative Officer, Chief Project Officer, or representative of a foreign nongovernmental organization for its operation in Vietnam.
An internal transferee of a company that engages in one of 11 service sectors as stated in Vietnam’s WTO service commitments.
A person providing professional and technical consultancy service or conducting other missions serving for the implementation, evaluation, and supervision of Official Development Aid programs or projects according to the agreements signed between foreign parties and the Vietnamese Government.
A person permitted by the Ministry of Foreign Affairs to conduct media activities in Vietnam.
Other circumstances as stipulated by the Prime Minister.

Personal Income Tax

Foreign residents who stay in Vietnam for at least 183 days within 12 consecutive months are subject to personal income tax on all income earned in Vietnam and regular income earned abroad. Vietnam uses a progressive tax scale when calculating personal income tax, with the highest rate being 35%. Foreigners who stay in Vietnam for less than 183 days during a 12-month period are subject to personal income tax on regular and irregular income sourced in Vietnam during their residence in Vietnam and, instead of the progressive rate, a 20% flat rate will be applied.

Vietnam has signed double tax agreements (DTA) with many countries, in which tax exemptions may be applied in specified circumstances. As the language of each agreement differs to some extent, each country should be considered separately. The tax exemptions under the DTAs will not apply automatically, as the application for the exemption must be submitted to the Ministry of Finance.

The prospect of a single tourist visa for the six countries in the Greater Mekong Sub-region remains remote but could be discussed at a meeting in Bagan in November, a spokesperson from the Mekong Tourism Coordinating Office said last week.

Tourism ministers from Cambodia, China, Laos, Myanmar, Thailand and Vietnam are expected to attend the GMS Working Group Meeting, as well as representatives from the private sector.

The MTCO spokesperson said a major sticking point for introducing the single visa was the likely negative impact on revenue from tourist visas, which she described as a “golden goose” for some GMS countries.

“It may take years before the countries agree on [the single visa] and then implementation will remain a big challenge, including who collects the money and how is it spread among the countries. Thailand had agreed since 2009 on a single visa scheme but this was never implemented,” the spokesperson told The Myanmar Times.

“The single visa project … is a long-term project. In principle the ministries of tourism are willing to move into this direction but the decision needs to be made at the highest government level.”

It was not even certain the issue would be raised in November, she said, as the agenda has not yet been developed.

While the visa would likely increase arrivals and make travel between the six countries easier, the spokesperson said governments should focus on spreading the benefits of tourism further among their populations.

“I believe the priority is to promote and facilitate a more controlled development of tourism … rather than looking only at numbers of arrivals [and a policy that] benefits mainly a few big enterprises, which are reaping most of the benefits,” she said.

She also recommended studies into “how tourism can benefit the destinations and contribute to the economic development of the local communities”.

“Tourism is a fantastic sector of activity that truly supports the human and economic development at the local level if developed in a sustainable manner. The countries will benefit even more in the long run if they recognise that and implement accordingly.”

According to statistics from the Ministry of Hotels and Tourism, tourist arrivals in Myanmar totalled 172,244 in the first six months of 2011, an increase of 22.83 percent on the same period last year.

Almost two-thirds of visitors were from Asian countries, including 35,459 from Thailand – the largest single national group – and China, with 17,944 visitors. About 11,003 visitors came from the South Korea.

Arrivals from European countries totalled 39,734 in the first six months of 2011, representing 23.03pc of all tourists. France led the way with 9435 visitors, followed by Germany with 6119 visitors.

Six countries of the Greater Mekong Subregion (GMS) – China, Cambodia, Laos, Myanmar, Thailand and Vietnam will make discussions on introducing single visa for the member countries at GMS travel show to be held in Myanmar  later this year, according to tourism circle Wednesday.

Organised by the Tourism working group of the GMS, the travel show will be held in the ancient city of Bagan for development of tourism as part of its economic cooperation in the subregion.

Food show will also be attached with the travel show.

The 4,500-km Mekong river originates from China’s Qinghai and runs through Myanmar, Laos, Thailand, Cambodia and Vietnam down to South China Sea near Ho Chi Minh city.

There will be no respite for foreigners currently employed in Vietnam yet unable to obtain work permits prior to August 1 before new regulations will allow the expulsion of unregistered foreign employees.

According to Deputy Minister of Labour, Invalids and Social Affairs Nguyen Thanh Hoa, the Government has issued Decree No. 46 amending and supplementing some articles of Decree No. 34 on managing foreigners seeking to work in the country.

Six months after the new decree takes effect on August 1, foreign workers who have not received a work permit or have yet to apply for a permit will be expelled from the country. These people will also be barred from future visa applications to work in Vietnam.

The new regulation also relates to foreign workers who come to Vietnam as part of the workforce on foreign invested projects. During the tendering process, an investor will be required to employ both Vietnamese and foreign workers. State owned enterprises, enterprises operating under Enterprise Law and foreign invested projects operating under the Foreign Investment Law are allowed to recruit foreign workers, but cannot exceed a three percent threshold in terms of their total current employees. New businesses will be obliged initially seek Vietnamese employees.

Hoa claimed that shortcomings on the management of foreign workers in Vietnam existed.

According to Hoa, the regulation that allowed foreigners who work in Vietnam for less than three months to be free from needing a work permit has created the opportunity for enterprises and contractors to take advantage of supposedly ‘untrained’ workers.

“The new circular attempts to put a brake on the use of low-quality foreign workers,” he emphasised.

MoLISA is also considering applying stricter punishments to employers who have unlicensed foreign workers. He optimistically claimed that it would take only ten working days for a foreign worker to get their work permit, promising a halving in processing time, despite anecdotal evidence pointing to the process taking months to complete.

Institutions and enterprises that receive foreigners who come to study in Vietnam must also file a report to the MoLISA, he added.

Despite government concern over the numbers of foreigners working in the country, Vietnam currently only employs 74,000 workers from 60 countries, 58% of which originate from the Asia, according to unofficial statistics.

How to get Vietnam visa exemption
